Kaizad Bharucha, deputy managing director of HDFC Bank, India's largest private-sector lender, will step down with effect from 31 December 2026, the bank said, after its board accepted his request at meetings on 16 and 17 October. The bank has forwarded the matter to the Reserve Bank of India (RBI).

The announcement comes days before Anup Bagchi, a long-time ICICI Group executive, takes charge as HDFC Bank's managing director and chief executive on 27 October, succeeding Sashidhar Jagdishan.

Key points

  • Bharucha's exit takes effect on 31 December 2026; the board's nomination committee and the board accepted his request on 16 and 17 October.
  • Bharucha, who joined HDFC Bank in 1995, was widely seen as a contender for the top job, according to reports.
  • The RBI approved Bagchi as MD and CEO on 1 October for three years from 27 October 2026.
  • Jagdishan said in August that he wouldn't seek reappointment; his term ends on 26 October.

HDFC Bank's leadership change

Bharucha has been one of HDFC Bank's longest-serving senior executives. He joined in 1995, when the bank was a year old, and rose to lead its wholesale banking business before becoming an executive director and then deputy managing director. He was widely reported to be a leading internal candidate to succeed Jagdishan.

Instead, the board chose an outsider. In early October the bank said the RBI had approved Anup Bagchi as MD and CEO for three years from 27 October 2026, along with his remuneration, under Section 35B of the Banking Regulation Act, according to the bank's filing reported by Outlook Business and others. The board had appointed him an additional director from 2 October, subject to shareholders' approval.

Who is Anup Bagchi

Bagchi has spent his career at the ICICI Group, which he joined in 1992. He was an executive director of ICICI Bank and led ICICI Securities before becoming MD and CEO of ICICI Prudential Life Insurance, reports said.

HDFC Bank Kaizad Bharucha: why the exit matters

Senior executives often leave a company when a new chief arrives from outside, and Bharucha's departure fits that pattern. The bank's statement didn't give a reason, and Bharucha hadn't commented publicly, according to the reports we checked.

The change caps a period of upheaval at the top of HDFC Bank, which completed its merger with its former parent, the mortgage lender HDFC Ltd, in 2023. Jagdishan, who succeeded the bank's founding chief Aditya Puri in 2020, told the stock exchanges on 29 August that he wouldn't seek another term.

Why it matters: HDFC Bank is one of India's most valuable companies and among its largest employers, and millions of Indians, including NRIs, bank with it. Who runs it, and how smoothly, matters to depositors, borrowers and India's financial markets. For readers abroad, it's notable that India's biggest private bank has chosen a chief from its closest rival, ICICI, a rare move in Indian banking.

For customers, very little changes on Monday morning. For the bank, a new chief and a departing deputy in the same quarter means the next year will be about one thing above all: whether the leadership change is as calm as the balance sheet.
